By accessing or using the Audiaro Services (hereinafter referred to as the “Services” or “Audiaro Services”), including the Audiaro App, you agree to be bound by all terms of this User Agreement (hereinafter referred to as the “Agreement”). You are a party to this Agreement, and the other party is Audiaro. You and Audiaro are collectively referred to as the “Parties,” and individually as a “Party.”

Audiaro may revise this Agreement from time to time. The latest version will be posted on this page. Continued use of the Services constitutes your acceptance of the revised terms.

You may only use the Services and enter into this Agreement if you are at least 18 years old.

All actions under your account are deemed to be performed by you and are your sole responsibility. You must maintain the confidentiality and security of your account and password.

1. Account Management

1.1. When registering an account, you must provide accurate, complete, and up-to-date information, including your account name and password.

1.2. You are fully responsible for maintaining the security of your account and password and for all activities conducted under your account.

1.3. Audiaro may suspend or disable your account at any time if there is any risk of violation of this Agreement, service disruption, infringement, or illegal activity.

1.4. To stop using the Services and delete your account, use the in-app account deletion feature or contact us at support@vision-victory.in.

1.5. Account deletion is permanent. All content associated with the account will also be irretrievably deleted.

2. Privacy Protection

Your privacy is important to Audiaro. Please refer to our Privacy Policy to understand how we collect, use, store, and disclose your personal information when you use the Services, including data you provide, data collected automatically, and data from third parties where applicable. The Privacy Policy also outlines the purposes of such use, such as improving our Services, ensuring security, and complying with legal obligations, as well as your rights to access, update, or manage your personal information..

3. Acceptable Use of Services

When using the Services, you must comply with this Agreement, applicable laws, and community guidelines. Prohibited conduct includes but is not limited to:

Creating, uploading, or distributing illegal, obscene, pornographic, infringing, defamatory, harassing, threatening, inciting, or otherwise improper content;

Impersonating others, falsifying identity or account information, or engaging in fraud;

Harassing or threatening other users, or collecting personal information without authorization;

Removing, bypassing, or compromising security features, copyright notices, or content protection measures;

Reverse engineering, decompiling, or similar actions (unless permitted by law);

Modifying, translating, or creating derivative works (unless permitted by law);

Uploading viruses or other malicious programs;

Interfering with the Services, servers, networks, or the normal experience of other users;

Manipulating identifiers to conceal content sources;

Attempting to bypass content filters or access unauthorized areas;

Using the Services for illegal purposes, including violations of intellectual property, privacy, or data protection laws.

Audiaro may remove, filter, or edit User Content to the extent permitted by law without prior notice.

4.UGC Authorization, Prohibited Content, and Responsibility

4.1. When you post or upload UGC to Audiaro, unless otherwise agreed in writing, you grant Audiaro and its licensees a worldwide, royalty-free license to use, reproduce, modify, publish, translate, distribute, perform, display, and create derivative works of such content, including for future media or technology.

This license terminates after reasonable backup retention periods, except for:

Content used for promotional purposes;

Time required to delete content from system backups.

4.2. You may not create or distribute the following:

Child sexual abuse material (CSAM);

Content encouraging self-harm or suicide;

Illegal conduct, including violence, terrorism, or drugs;

False information, especially affecting public safety;

Threats or harassment, including cyberbullying;

Spam or malicious activity;

Infringing content;

Discriminatory or offensive content;

Violent threats.

4.3. Other users’ posts, shares, or expressions on the Audiaro Services (including virtual gifts) represent only those users’ views and not the positions or values of Audiaro.

You are solely responsible for the legality, accuracy, and appropriateness of your UGC.

5. Prevention of Child Sexual Abuse and Exploitation (CSAE)

Audiaro maintains a zero-tolerance policy toward Child Sexual Abuse and Exploitation (CSAE). Users are strictly prohibited from creating, uploading, sharing, accessing, or distributing any content that depicts, promotes, or facilitates the sexual exploitation or abuse of minors. Any such activity will result in immediate account suspension or termination and may be reported to relevant law enforcement authorities in accordance with applicable laws and regulations. Audiaro is committed to cooperating fully with global efforts to prevent CSAE and to ensuring a safe and secure environment for all users.

6. Content Review

Audiaro uses both automated systems and human moderation to review and monitor user-generated content for compliance with these Terms and applicable laws. While reasonable efforts are made to detect violations, Audiaro cannot guarantee that all prohibited content or activities will be identified or removed.

Audiaro reserves the right, at its sole discretion and without prior notice, to review, remove, or restrict content and user activities that may violate these Terms or pose risks to the platform or its users.

Violations may result in:

Content removal;

Feature restrictions;

Account suspension or termination;

Reporting to relevant authorities where required by law.

7.Paid Services

Audiaro offers certain features and content through in-app purchases. By completing a purchase, users acknowledge and agree that all sales are final. Except where required by applicable law, Audiaro does not provide refunds, exchanges, or credits for any purchased items or services. Users are responsible for reviewing purchase details carefully before confirming any transaction.

8. Third-Party Content

The Services may include content, links, integrations, or references to third-party websites, applications, services, or resources (“Third-Party Content”). Such Third-Party Content is provided solely for user convenience and informational purposes. Audiaro does not control, endorse, or assume any responsibility for the accuracy, reliability, completeness, legality, quality, or timeliness of any Third-Party Content.

Accessing or interacting with Third-Party Content is done at the user’s own discretion and risk. Audiaro shall not be liable for any damages, losses, or issues arising from or related to the use of, reliance on, or inability to use any Third-Party Content, including but not limited to data loss, security breaches, or service interruptions.

Users acknowledge that third-party websites and services may be governed by their own terms of service, privacy policies, and data practices. It is the user’s responsibility to review and comply with such terms and policies before engaging with any Third-Party Content. Audiaro is not responsible for the content, policies, or practices of any third party, nor for any transactions or interactions between users and such third parties..

9. Intellectual Property

Unless otherwise stated, all content and materials in the Services, including software, images, text, graphics, logos, patents, trademarks, copyrights, photos, audio, video, music, and related intellectual property, are owned by Audiaro or its licensors. Unauthorized copying, modification, distribution, performance, or commercial use is prohibited.

Audiaro grants users a limited, non-exclusive, non-transferable, revocable license to access and use the Services.

10. Disclaimer and Limitation of Liability

To the maximum extent permitted by law, the Services are provided “AS IS” without any warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or error-free operation.

Audiaro does not guarantee that the Services will be secure, virus-free, or uninterrupted. Use of the Services is at your own risk.

To the maximum extent permitted by law, Audiaro is not liable for any direct, indirect, incidental, special, punitive, or consequential damages arising from use of or inability to use the Services, User Content, third-party content, or unauthorized use or modification of content.

11. Indemnification

You agree to indemnify and hold harmless Audiaro, its affiliates, officers, directors, employees, and agents from all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from:

Your violation of this Agreement;

Your use of the Services;

Your User Content;

Your infringement of third-party rights.

12. Termination

Audiaro may terminate or suspend your account and access to the Services at any time for any reasonable cause, including:

Service discontinuation;

Legal requirements;

Breach of this Agreement.

Upon termination, you will lose access to your account and associated content, and remain responsible for obligations incurred prior to termination.

13. Severability

If any provision, clause, or part of this Agreement is determined by a court of competent jurisdiction or other applicable authority to be invalid, illegal, or unenforceable for any reason, such provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the relevant provision shall be deemed severed from this Agreement. The invalidity or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions, all of which shall continue in full force and effect.

14.Entire Agreement

This Agreement, together with any policies, guidelines, or additional terms expressly incorporated by reference, constitutes the entire agreement between you and Audiaro regarding your access to and use of the Services. It supersedes and replaces all prior or contemporaneous understandings, agreements, communications, and representations, whether oral or written, relating to the subject matter herein. Any failure by Audiaro to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision.
